Aditya Birla Fashion and Retail Limited (ABFRL) has further strengthened its ownership of fashion brand Bewakoof through its wholly owned subsidiary, Aditya Birla Digital Fashion Ventures (TMRW), which has increased its stake in Bewakoof Brands Private Limited to 99.03%.
The acquisition was completed on 8th June 2026 through a secondary purchase of an additional 10.02% equity stake for cash consideration. Prior to the transaction, TMRW held an 89.01% stake in the company.
The latest acquisition forms part of the Share Subscription and Shareholders’ Agreement executed on 22nd March 2023, which included pre-defined milestones enabling TMRW to progressively increase its ownership in the business.
With the transaction, TMRW has effectively consolidated its control over Bewakoof, a digital-first fashion and lifestyle brand operating across apparel, footwear and accessories categories. The company sells its products through both online and offline channels under the ‘Bewakoof’ brand.
For the financial year ended 31st March 2026, Bewakoof reported a turnover of Rs. 243.12 crore (US $25.43 million).
The move further strengthens TMRW’s portfolio of digital-first fashion brands as the Aditya Birla Group continues to expand its presence in India’s rapidly evolving online fashion and lifestyle market.
